TERMS OF SERVICE – Be Allways Ready, LLC – Effective Date: May 9, 2026

1. Acceptance of Terms

By accessing or using the website located at BeAllwaysReady.com (the “Site”), registering for any event, RSVP-ing for any activity, enrolling in a membership, or otherwise engaging with Be Allways Ready, LLC (“Company,” “we,” “us,” or “our”), you (“User” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms in their entirety, you must not access or use the Site or participate in any Company event or program.

These Terms apply to all visitors, registered users, event participants, members and any other persons who access or use our services in any manner.

2. Description of Services

Be Allways Ready, LLC provides wellness-focused community programming including but not limited to:

• Run club events and group fitness meetups
• Outdoor and park-based group workouts
• Social wellness gatherings and community meetups
• Wellness education sessions and workshops
• Paid and free events requiring RSVP or registration through the Site
• Paid membership programs (“Membership”) providing access to exclusive content, programming discounts and member-only events
• Email and SMS communications delivered through our marketing platforms

Services may be offered at no charge or for a fee. Paid events and Memberships will clearly indicate pricing at the time of registration. The Company reserves the right to modify, suspend or discontinue any service at any time with or without notice.

3. Eligibility

To register for an account, RSVP for events, or purchase a Membership, you must be at least 16 years of age. By using the Site or participating in any program, you represent and warrant that you meet this age requirement.

Participants under the age of 18 may attend designated family-friendly events only in the Company-provided childcare and supervised activity area. Minors may not participate in any training sessions, fitness programming or wellness content delivery. A parent or legal guardian must be present on-site for any minor attending an event.

The Company reserves the right to refuse service or access to any individual at its sole discretion.

4. Account Registration

Certain features of the Site require you to create an account. When registering, you agree to:

• Provide accurate, current and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential
• Accept responsibility for all activity that occurs under your account

You may not use another person’s account without their express permission. The Company reserves the right to terminate accounts that contain false or misleading information or that violate these Terms.

5. Event Registration, RSVPs and Cancellations

5a. RSVP and Registration By submitting an RSVP or registration for any Be Allways Ready event, whether free or paid, you are confirming your intent to attend and agreeing to abide by all event-specific rules, conduct expectations and safety guidelines communicated at the time of registration or on-site.

5b. Paid Events Paid event registrations are processed securely through the Site. Full payment is required to confirm your spot. Spots are not guaranteed until payment is received and confirmed.

5c. Cancellations and Refunds Cancellation and refund policies will be clearly stated at the time of registration for each event. Unless otherwise specified:

• Cancellations made more than 72 hours before the event start time may be eligible for a full refund or event credit at the Company’s discretion
• Cancellations made within 72 hours of the event start time are non-refundable
• No-shows are non-refundable regardless of circumstance
• The Company reserves the right to cancel or reschedule any event due to weather, safety concerns, low enrollment or other circumstances. In such cases, registered participants will be offered a full refund or credit toward a future event

5d. Event Conduct All participants are expected to treat fellow attendees, staff and community partners with respect. The Company reserves the right to remove any participant from an event for disruptive, unsafe or inappropriate behavior without refund.

6. Membership Terms

Be Allways Ready, LLC offers paid Membership tiers providing access to exclusive programming, content and benefits as described on the Site. By enrolling in a Membership, you agree to the following:

• Membership fees are billed on the cycle selected at the time of enrollment (monthly or annually)
• Memberships automatically renew at the end of each billing cycle unless cancelled by you prior to the renewal date
• You may cancel your Membership at any time through your account dashboard or by contacting us at hello@BeAllwaysReady.com. Cancellations take effect at the end of the current billing period. No partial refunds are issued for unused time within a billing cycle
• The Company reserves the right to modify Membership pricing or benefits with at least 14 days’ written notice to active members
• Members who enroll in paid programs or participate in physical training activities will be required to sign a separate liability waiver prior to participation. These Terms do not replace that waiver
• Membership benefits are non-transferable and are for individual use only

7. Physical Activity Acknowledgment and Assumption of Risk

Be Allways Ready, LLC offers fitness and wellness programming that involves physical activity including running, outdoor workouts and group exercise. By participating in any physical activity offered or organized by the Company, you acknowledge and agree to the following:

• Physical activity involves inherent risks including but not limited to physical injury, illness, strain, accidents and in rare cases serious injury or death
• You are voluntarily choosing to participate and assume full responsibility for any risk, injury or damage that may result
• You represent that you are in adequate physical health to participate and have consulted a physician if you have any medical conditions, injuries or concerns that could be affected by physical activity
• The Company is not a licensed medical provider and nothing communicated through the Site, events or any Company representative constitutes medical advice

Participants in paid programs or training activities will be required to sign a separate liability waiver and release of claims prior to participation. These Terms of Service operate alongside that waiver and do not replace it.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Be Allways Ready, LLC, its officers, employees, contractors and agents shall not be liable for any direct, indirect, incidental, consequential, punitive or exemplary damages arising from or related to:

• Your participation in any event, run club, workout or social gathering
• Any injury, illness or physical harm sustained during or in connection with Company activities
• Your use of or inability to use the Site or its services
• Any errors, omissions or inaccuracies in content on the Site
• Unauthorized access to or alteration of your transmissions or data

In no event shall the Company’s total liability to you for any claim arising from these Terms or your use of our services exceed the amount you paid to the Company in the 90 days preceding the claim.

9. Indemnification

You agree to defend, indemnify and hold harmless Be Allways Ready, LLC and its officers, employees, contractors and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Site or participation in any Company event or program
• Your violation of these Terms
• Any content you submit, post or transmit through the Site
• Your violation of any third-party rights

10. Email and SMS Communications

By registering for an account, completing an RSVP, purchasing a Membership or otherwise providing your contact information through the Site, you consent to receive email and SMS communications from Be Allways Ready, LLC.

10a. Email Communications We use Klaviyo to manage and deliver our email marketing communications. By opting in, you may receive emails related to upcoming events, membership updates, wellness content, promotional offers and Company news. You may unsubscribe at any time by clicking the unsubscribe link included in any email or by contacting us directly at hello@BeAllwaysReady.com.

10b. SMS Communications By providing your mobile phone number and opting in to SMS communications, you consent to receive text messages from Be Allways Ready, LLC regarding event reminders, registration confirmations, promotional offers and other Company updates. Message and data rates may apply depending on your carrier. Message frequency varies.

To opt out of SMS at any time, reply STOP to any text message you receive from us. For help, reply HELP. Opting out of SMS will not affect your email preferences or your account standing.

We do not sell or share your phone number or email address with third parties for their own marketing purposes. For full details on how we collect and use your personal information, please review our Privacy Policy.

11. User-Generated Content

If you submit, post or share any content through the Site including comments, photos, reviews or testimonials, you grant Be Allways Ready, LLC a non-exclusive, royalty-free, worldwide license to use, reproduce, display and distribute that content in connection with our services and marketing efforts.

You represent that you own or have the necessary rights to any content you submit and that your content does not violate any third-party rights or applicable laws. The Company reserves the right to remove any content at its sole discretion without notice.

12. Intellectual Property

All content on the Site including but not limited to logos, branding, text, graphics, images, videos and program materials is the property of Be Allways Ready, LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify or create derivative works from any Site content without express written permission from the Company.

13. Third-Party Links and Services

The Site may contain links to third-party websites or integrate with third-party services including Klaviyo and payment processors. These links are provided for convenience only. The Company does not endorse and is not responsible for the content, privacy practices or terms of any third-party service. Your use of third-party services is governed by their respective terms and policies.

14. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the data practices described in our Privacy Policy. Please review it carefully.

15. Modifications to These Terms

Be Allways Ready, LLC reserves the right to update or modify these Terms at any time. When we make material changes, we will update the Effective Date at the top of this page and, where appropriate, notify active members via email. Your continued use of the Site or participation in any Company programming following the posting of updated Terms constitutes your acceptance of those changes.

We encourage you to review these Terms periodically to stay informed of any updates.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or your use of our services shall be resolved through good-faith negotiation first. If the parties are unable to resolve the dispute informally, any legal action shall be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction in those courts.

As the Company expands to additional states, these Terms will continue to be governed by California law unless a separate agreement is entered into with users in a specific jurisdiction requiring otherwise.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any separate liability waiver signed in connection with paid programs or Membership, constitute the entire agreement between you and Be Allways Ready, LLC with respect to the subject matter herein and supersede all prior agreements, understandings and representations.
